We are actively seeking a Transactional Banking Attorney located in New York City with the following experience:

· Advise and provide corporate transactional (predominately securities, M&A, VC/private equity, corporate governance, etc.) counsel to the investment group to help evaluate investments in start-ups and established companies, including, but not limited to, those in the blockchain and distributed ledger and FinTech spaces. Particular transactions may or may not be with a consortium of other investors.

· Provide global legal coverage in relation to investment banking business activities. These activities include corporate and institutional lending, investment banking, capital markets, treasury, private banking and markets and securities related products and services.

· Advise on all stages of investments, including due diligence, valuation, transaction documentation (including drafting, reviewing, and negotiating NDAs, term sheets, stock purchase agreements, voting agreements, investor rights agreements, ROFR and co-sale agreements, etc.).

· Participate in ongoing review and maintenance of portfolio companies (e.g., advise on shareholder and board consents) and exits via IPOs, follow-on transactions, M&A transactions, and private sales.

· Managing outside counsel as needed.

· Provide advice and counsel to client’s global flagship multimedia web and mobile platform where institutional clients access, among other things, proprietary research, market commentary, online analytical tools and execute trades.

· Epiq Counsel partners with industry-leading clients in support of their sophisticated interim talent needs. Must be interested in practicing in an alternative, fixed-term legal services model.

· Active membership and good standing in the state of New York.

The ideal candidate will have:

· Experience in banking, capital markets, and finance transactional legal work is beneficial.

· Strong knowledge of financial services regulation.

· Experience working in a major law firm and / or bank preferred.
